1) Who will our category manager be once the Smurfit-Stone/RockTenn acquisition is complete?
Your category manager contacts will remain unchanged until you are notified otherwise.
2) How will I receive purchase orders?
Purchase orders will originate from the location to which the goods are destined. POs that have been issued are still valid and should be fulfilled.
3) Will my payment terms change?
We will continue to honor all current contracts. At the close of the acquisition, we will be reviewing opportunities between the combined RockTenn/Smurfit-Stone organizations, and you will be contacted if there is an opportunity to consolidate terms moving forward.
4) Will there be changes to the electronic data interchange (EDI) system that we currently use?
No, the EDI system will remain the same until further notice.
5) Where should I send invoices after the completion of the acquisition?
Information regarding invoice remittance will be located on all purchase orders. In almost all cases, this address will be the same to which you are currently sending invoices and is based on the specific ordering plant. For example, if you ship an order to a legacy Smurfit-Stone plant, continue to send invoices for those shipments to Jacksonville or your other current invoicing address. If you ship to a legacy RockTenn plant, send that invoice to the location you currently bill. Consolidating invoices from legacy Smurfit-Stone and legacy RockTenn could delay payment.
6) I have an outstanding invoice. Who should I contact regarding payment?
You should continue to follow the same process you currently use.
7) Has the company name changed?
Yes, with the completion of the acquisition by RockTenn, Smurfit-Stone no longer exists. The company name on all documentation will be shown as RockTenn.
8) From which bank or financial institution will we receive payment?
You will continue to receive payment from your current financial institution.
9) Will we be expected to support eCatalog programs?
Yes, we will continue to operate with several legacy systems for a period of time and will be counting on your support moving forward. We will communicate any changes to this process as soon as possible.
10) Will we have any additional paperwork to fill out as part of the acquisition closing?
We do not anticipate any additional paperwork for suppliers in conjunction with the acquisition closing.
11) Will we gain or lose business as a result of this merger?
All contracts will continue as is. You will be contacted by your category manager for any future opportunities.
12) Will my current contract be assumed and honored by RockTenn?
Current contracts with Smurfit-Stone will be assumed in connection with acquisition. You will be contacted directly should there be any legal implications associated with the deal closing. We will honor any required contract notifications and will also process change-of-control agreement requirements accordingly.
13) Will I need a different logon or access to a new system to access account information?
No.
14) Can we continue to use our State Tax Exemption Certificates (Sales & Use) or will new ones be issued?
If you have a sales and use tax exemption document from Smurfit-Stone, we request that you continue to follow the same tax treatment that is currently in place. We will forward updated certificates as they become available.
15) Will RockTenn be closing any plants or mills where I am currently doing business?
It is the Company’s policy not to comment or speculate on any future facility closures.
16) What if I have further questions about the combined organization?
We have established a toll-free hotline – 877-845-2749 – where suppliers can get further information. You are also encouraged to direct any specific question to your individual category manager.
